Software License Agreement
This License Agreement ("Agreement") governs your use of software, applications, platforms, and services provided by AI-IT Inc. ("Licensor", "we", "our", or "us"). By accessing, downloading, installing, or using our software or services, you agree to be bound by the terms of this Agreement.
Effective Date: December 23, 2025
License Types
1. Proprietary Software License
Most AI-IT Inc. software and applications are proprietary and licensed, not sold, to you under the following terms:
- Grant of License: We grant you a limited, non-exclusive, non-transferable license to use our software for your internal business purposes.
- Restrictions: You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of our software.
- Term: License is effective until terminated. We may terminate your license if you breach this Agreement.
- Updates: We may provide updates, patches, or new versions. Updates are subject to this Agreement.
2. SaaS Subscription License
For Software-as-a-Service (SaaS) products, the license is granted on a subscription basis:
- Subscription Term: License is valid for the duration of your active subscription.
- Access Rights: You may access and use the service according to your subscription tier.
- User Limits: Usage is subject to the user limits and features of your subscription plan.
- Renewal: Subscription automatically renews unless cancelled according to our terms.
3. API License
For API access and integration services:
- API Access: License to access and use our APIs for integration with your applications.
- Rate Limits: Usage is subject to rate limits and quotas specified in your API agreement.
- API Keys: You are responsible for maintaining the security of your API keys.
- Compliance: You must comply with our API usage guidelines and terms of service.
Intellectual Property Rights
All intellectual property rights in our software, including but not limited to copyrights, trademarks, trade secrets, and patents, remain the exclusive property of AI-IT Inc. and our licensors.
Ownership
- All software, code, designs, documentation, and related materials are owned by AI-IT Inc.
- You do not acquire any ownership rights by using our software.
- Trademarks, logos, and brand names are the property of AI-IT Inc.
- Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.
Prohibited Uses
- Reverse engineering, decompiling, or disassembling our software
- Removing or altering copyright notices, trademarks, or proprietary markings
- Using our software to develop competing products or services
- Sharing, distributing, or reselling our software without authorization
- Using our software for illegal, harmful, or unauthorized purposes
Data and Privacy
Your use of our software may involve the collection and processing of data. Our data practices are governed by our Privacy Policy, which is incorporated into this Agreement by reference.

- You grant us license to use data you provide for service delivery and improvement
- We implement security measures to protect your data
- You are responsible for data you input into our systems
Warranty and Disclaimer
No Warranty
Our software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the maximum extent permitted by law, AI-IT Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our software.
Termination
By You: You may terminate this Agreement by ceasing use of our software and deleting all copies in your possession.
By Us: We may terminate or suspend your license immediately, without prior notice, if you breach this Agreement or for any other reason we deem necessary.
Effect of Termination: Upon termination, your right to use our software will cease immediately, and you must delete all copies of our software. Provisions that by their nature should survive termination will survive.
Updates and Modifications
We reserve the right to modify, update, or discontinue our software at any time. We may also update this License Agreement from time to time. Material changes will be communicated through our website or via email to registered users.
Your continued use of our software after changes to this Agreement constitutes acceptance of the updated terms.
Third-Party Components
Our software may include third-party open-source or proprietary components. Such components are subject to their respective licenses, which may be different from this Agreement.

Governing Law and Disputes
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Any disputes arising from this Agreement or your use of our software shall be resolved in the courts of Central Florida, and you consent to the jurisdiction of such courts.
